1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of the website https://istanco.net/ (the “Website”) and all services provided by ISTIRIO LLC under the ISTanCo brand (“ISTanCo”, “we”, “us” or “our”).

By creating an account, placing an order or using any of our services, you agree to these Terms. If you are accepting these Terms on behalf of a business or other legal entity, you confirm that you have the authority to bind that entity. If you do not agree to these Terms, you must not use the Website or our services.

The following documents form part of these Terms and apply together with them:

  • Domain Registration Agreement
  • Refund & Cancellation Policy
  • Acceptable Use & Abuse Policy
  • Privacy Policy
  • Cookie Policy

If there is a conflict between these Terms and the Domain Registration Agreement on a matter specific to domain names, the Domain Registration Agreement applies.

2. Definitions

  • “Services” means all products and services offered through the Website, including domain registration services, domain-related services, web hosting, email hosting and SSL certificates.
  • “Customer”, “you” or “your” means the individual or entity that creates an account or orders or uses the Services.
  • “Client Area” means the online account area through which you manage your account, Services, invoices and support tickets.
  • “Customer Content” means all data, files, websites, emails and other content that you or your users store, transmit or publish using the Services.
  • “Billing Period” means the monthly, annual or multi-year period for which a Service is paid in advance.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Services. By using the Services, you confirm that you meet these requirements.

We may refuse to provide Services to any person or entity, in particular where we are unable to verify the information provided, where we reasonably suspect fraud or misuse, or where providing the Services would violate applicable law or the requirements of a registry, registrar or other supplier.

4. Account Registration and Security

To order Services, you must create an account and provide accurate, current and complete information, including your name, email address and contact details. You must keep this information up to date.

You are responsible for:

  • keeping your login credentials, domain authorization codes and other access details confidential and secure;
  • all activity that occurs under your account, whether or not authorized by you; and
  • notifying us promptly at sladana@istanco.com if you believe your account has been accessed without authorization.

We are not responsible for losses caused by unauthorized use of your account resulting from your failure to keep your credentials secure.

5. Description of Services

We provide the following Services, as described on the Website at the time of your order:

  • Domain registration services: registration, renewal, transfer and management of domain names, provided as an authorized reseller through accredited registrar partners;
  • Domain-related services: domain backordering, registrant change requests and similar services;
  • Web hosting: shared and managed WordPress hosting with the features and resource limits of the selected plan;
  • Email hosting: hosted email accounts with the storage and features of the selected plan; and
  • SSL certificates: certificates issued by third-party certificate authorities.

Plan features, resource limits and prices are described on the Website and in your order. We may update, improve or discontinue features of the Services. If we discontinue a Service that you have paid for, we will provide reasonable advance notice and either offer a comparable alternative or refund the unused portion of the prepaid fee.

6. Orders and Order Acceptance

An order is accepted when we activate the ordered Service or confirm the order by email. Submitting an order or making a payment does not by itself guarantee that a Service will be provided.

Domain name availability and pricing displayed on the Website are indicative only and depend on information provided by registries and other third-party systems at the time of the search. A domain name is registered only when the registration is confirmed by the relevant registry. If a domain name cannot be registered, we will inform you and refund the amount paid for that domain name or, at your choice, apply it to another Service.

We may review orders for fraud prevention and compliance purposes and may request additional information or documents before activating a Service. We may cancel any order that we cannot verify, in which case any payment received for that order will be refunded.

7. Prices, Billing and Payment

7.1 Currency and Prices

All Services are billed in U.S. dollars (USD). Prices displayed in other currencies on the Website are provided for convenience only and are not binding. The amount charged is the USD amount shown on your invoice.

Prices do not include taxes unless stated otherwise. Where applicable law requires us to collect sales tax, value added tax or similar taxes, they will be added to your invoice.

7.2 Payment in Advance

All Services are paid in advance for the selected Billing Period, unless otherwise stated in your order. A Service is activated or renewed only after payment has been received.

7.3 Payment Methods

We accept the following payment methods:

  • card payments and other payment methods processed by Stripe;
  • ACH transfer; and
  • wire transfer.

For ACH and wire transfers, you must include your invoice number in the payment reference. A payment is treated as received when the funds have been credited to our account. You are responsible for any fees charged by your bank or intermediary banks for ACH or wire transfers.

7.4 Price Changes

We may change our prices for future Billing Periods. We will notify you of price changes for renewals of existing Services by email or through the Client Area before the change takes effect. Where a price change results from an increase in fees charged by a registry, certificate authority or other supplier, we will notify you as soon as reasonably practicable. Price changes do not affect Billing Periods that have already been paid.

8. Automatic Renewal

Unless you disable automatic renewal, all Services, including domain names, renew automatically at the end of each Billing Period for a period of the same length, at the price applicable at the time of renewal.

Before each renewal, we issue an invoice and send it to the email address associated with your account. For domain names, we also send renewal reminders before expiration, as described in our Domain Registration Agreement.

If you have saved a card or other payment method with our payment processor, the renewal invoice may be charged automatically to that payment method on or shortly before the due date. If no payment method is saved, or if you pay by ACH or wire transfer, you must pay the renewal invoice by its due date.

You can disable automatic renewal at any time in the Client Area or by opening a support ticket. To avoid being charged for the next Billing Period, you must disable automatic renewal or cancel the Service before the renewal invoice is paid or charged.

9. Late Payment, Suspension and Termination for Non-Payment

If an invoice is not paid by its due date:

  • the related Service may be suspended 7 days after the due date;
  • the related Service may be terminated 30 days after the due date, and Customer Content stored on that Service may be deleted as described in Section 13; and
  • domain names that are not renewed before their expiration date will expire and will be handled in accordance with the Domain Registration Agreement and the rules of the relevant registry.

We do not charge late payment fees. Fees for restoring an expired domain name, where applicable, are described in the Domain Registration Agreement.

10. Refunds

Refunds are governed by our Refund & Cancellation Policy. In summary:

  • new web hosting and email hosting plans are covered by a 30-day money-back guarantee, subject to the conditions of the Refund & Cancellation Policy;
  • domain name registrations, renewals, transfers and restorations are non-refundable once processed; and
  • SSL certificates are non-refundable once issued.

If you are a consumer located in the European Union, the European Economic Area or the United Kingdom, you may have a statutory right to withdraw from a contract concluded online. The Refund & Cancellation Policy explains how this right applies to our Services. Nothing in these Terms limits any right you have under mandatory consumer protection law.

11. Cancellation by You

You may cancel any Service at any time by submitting a cancellation request in the Client Area or by opening a support ticket. You may choose to cancel the Service at the end of the current Billing Period or immediately.

Cancellation does not entitle you to a refund of fees already paid, except as provided in the Refund & Cancellation Policy. The detailed cancellation procedure is set out in the Refund & Cancellation Policy.

12. Suspension and Termination by Us

We may suspend or terminate a Service or your account, with or without prior notice, if:

  • you breach these Terms, the Acceptable Use & Abuse Policy or the Domain Registration Agreement;
  • we receive a substantiated abuse report or a request from a registry, registrar, certificate authority, law enforcement authority or court;
  • your use of the Services threatens the security, stability or integrity of our systems, our suppliers’ systems or other customers; or
  • we are required to do so by applicable law.

Where reasonably possible, we will notify you before suspension and give you an opportunity to resolve the issue. Fees paid for a Service terminated under this Section are not refundable.

We may also terminate any Service for any other reason by giving you at least 30 days’ notice by email. In that case, we will refund the unused portion of any fees you have prepaid for that Service.

13. Effect of Termination

When a hosting or email hosting Service ends for any reason, your access to that Service ends. Customer Content stored on the Service may be permanently deleted 14 days after the Service ends. We are not obliged to retain, return or restore Customer Content after that period.

You are responsible for exporting and backing up your Customer Content before a Service ends. The termination of a hosting or email Service does not cancel any domain name registered in your account unless you separately cancel that domain name.

Sections that by their nature should continue after termination, including Sections 7, 13, 18, 22, 23, 24, 25, 26 and 27, will continue to apply.

14. Your Obligations

When using the Services, you agree to:

  • use the Services only for lawful purposes and in compliance with the Acceptable Use & Abuse Policy;
  • provide accurate information and keep it up to date, including domain registrant contact information;
  • comply with the policies of the relevant registries, registrars and certificate authorities;
  • ensure that your Customer Content does not infringe the intellectual property or other rights of any third party;
  • keep your websites, applications, plugins and passwords up to date and reasonably secure; and
  • maintain your own regular backups of all Customer Content.

15. Hosting and Email Services

15.1 Resources and Fair Use

Each hosting and email plan includes the resources described for that plan, such as storage, bandwidth, number of domains and number of email accounts. You must use the Services within these limits. If your use exceeds the plan limits or materially affects the performance of shared infrastructure or other customers, we may ask you to reduce usage, upgrade your plan or, where necessary to protect the infrastructure, temporarily restrict the affected Service.

15.2 Prohibited Content

Adult content, pirated content and content that infringes the rights of third parties may not be stored or published on our hosting or email Services. Other prohibited content and activities are described in the Acceptable Use & Abuse Policy.

15.3 Email Sending

Email hosting and hosting Services may not be used to send unsolicited bulk email or other spam. We may apply sending limits and spam filtering to protect our infrastructure and email reputation.

15.4 Backups

Where a plan includes backups, these backups are provided for operational recovery purposes only. We do not guarantee that backups will be complete, current or available. You remain responsible for maintaining your own backups of all Customer Content.

15.5 Maintenance and Availability

We use reasonable efforts to keep the Services available. Services may be temporarily unavailable due to scheduled maintenance, emergency maintenance, security incidents or failures of third-party networks or infrastructure. Unless a separate written service level agreement applies, we do not guarantee uninterrupted or error-free operation of the Services.

16. SSL Certificates

SSL certificates are issued by third-party certificate authorities. Before a certificate is issued, the certificate authority must validate your control of the domain name and, for some certificate types, additional information. The issuance and use of a certificate are also subject to the subscriber terms and policies of the issuing certificate authority.

We are not responsible for delays in issuance caused by the validation process or by the certificate authority. A certificate authority may revoke a certificate in accordance with its policies, for example if the certificate is misused or if the information provided is inaccurate.

17. Third-Party Services

Parts of the Services are provided using third-party suppliers, including domain registries, accredited registrars, certificate authorities, data center and infrastructure providers, and payment processors. Your use of the related Services may be subject to the policies of these suppliers.

We are not responsible for the acts, omissions, policies or availability of third-party suppliers, except to the extent that we are responsible for them under applicable law. Links to third-party websites are provided for convenience, and we are not responsible for their content.

18. Intellectual Property

The Website, its content, the ISTanCo name and logo, and all related software and materials are owned by ISTIRIO LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute or use them except as necessary to use the Services in accordance with these Terms.

You retain all rights in your Customer Content. You grant us a limited, non-exclusive license to host, store, copy, transmit and display your Customer Content only to the extent necessary to provide, secure and support the Services.

If you send us suggestions or feedback about the Services, we may use them without obligation to you.

19. Customer Content and Abuse Reports

You are solely responsible for your Customer Content and for the websites and email accounts you operate using the Services. We do not monitor Customer Content on a regular basis and have no obligation to do so.

We review abuse reports and complaints in accordance with our Acceptable Use & Abuse Policy. We may remove or disable access to Customer Content, suspend Services or take other appropriate action where we reasonably believe that content or activity violates these Terms or applicable law. We may cooperate with law enforcement authorities, registries and other competent bodies where required by law or the policies of our suppliers.

20. Privacy

We process personal data in accordance with our Privacy Policy. When you register a domain name, your registrant data is shared with the relevant registrar and registry and may be published in WHOIS or RDAP directories as required by registry policies and applicable law. The Privacy Policy and Domain Registration Agreement explain this in more detail.

21. Sanctions and Export Compliance

You may not use the Services if you are, or are owned or controlled by, a person or entity included on any sanctions list maintained by the United States, including the Specially Designated Nationals and Blocked Persons List of the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), or if you are located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions.

You agree not to use the Services in violation of U.S. sanctions or export control laws. We may refuse, suspend or terminate Services where we reasonably believe that providing them would violate these laws. Fees paid in such cases may be withheld or refunded only to the extent permitted by applicable law.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and the Services are provided “as is” and “as available”. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted availability, except as expressly stated in these Terms.

Without limiting the above, we do not guarantee that a particular domain name will be available or successfully registered, that a domain name will not be subject to a third-party claim, or that information displayed on the Website, including domain availability and pricing, will be free from errors.

Information published on the Website, including knowledgebase articles and announcements, is provided for general information only and does not constitute legal, technical or business advice.

23. Limitation of Liability

To the maximum extent permitted by applicable law:

  • we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill or data, arising from or related to the Website or the Services; and
  • our total liability for all claims arising from or related to the Website or the Services is limited to the amount you paid us for the Service giving rise to the claim during the 12 months before the event giving rise to the claim.

These limitations do not apply to liability that cannot be limited or excluded under applicable law, such as liability for fraud, gross negligence or willful misconduct, or liability that cannot be limited under mandatory consumer protection law.

24. Indemnification

You agree to indemnify and hold harmless ISTIRIO LLC and its members, managers, employees and suppliers from any claims, losses, liabilities, damages and reasonable costs, including reasonable legal fees, arising from your Customer Content, your use of the Services, your domain names, or your breach of these Terms or applicable law. This Section applies to consumers only to the extent permitted by applicable law.

25. Payment Disputes and Chargebacks

If you believe that you have been charged incorrectly, please contact us at sladana@istanco.com before initiating a chargeback or payment dispute with your bank or card issuer. Most billing issues can be resolved quickly through our support.

If a chargeback or payment dispute is initiated, we may suspend the related Services and your account until the dispute is resolved. If the dispute is resolved in our favor, you remain responsible for the disputed amount. Nothing in this Section limits your rights under applicable law or the rules of your card issuer.

26. Dispute Resolution

If a dispute arises in connection with these Terms or the Services, the parties will first try to resolve it informally and in good faith. You can start this process by contacting us at sladana@istanco.com with a description of the dispute. Both parties will make reasonable efforts to resolve the dispute within 30 days.

If the dispute is not resolved informally, either party may pursue the remedies available before a court of competent jurisdiction. The parties may also jointly agree to use mediation or arbitration for a specific dispute.

If you are a consumer, nothing in this Section limits your right to bring proceedings before the courts of the country in which you reside where mandatory law grants you that right.

Disputes relating to the registration or use of a domain name between you and a third party are subject to the applicable domain name dispute resolution policies described in the Domain Registration Agreement.

27. Governing Law

These Terms and any dispute arising from them are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country in which you reside.

28. Force Majeure

We are not liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, including natural disasters, power or network outages, cyberattacks, failures of third-party suppliers, acts of government, war, civil unrest or labor disputes.

29. Changes to These Terms

We may update these Terms from time to time. The updated version will be published on the Website with a new effective date. If we make material changes, we will notify you by email or through the Client Area before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of them. If you do not agree to the updated Terms, you may cancel your Services in accordance with Section 11.

30. Notices

We will send notices to the email address associated with your account. You are responsible for keeping that email address current and for checking it regularly. Notices to us must be sent to sladana@istanco.com or to our mailing address: ISTIRIO LLC, 75 E 3rd St, Sheridan, WY 82801, United States.

31. General Provisions

  • Entire agreement: These Terms, together with the documents listed in Section 1, form the entire agreement between you and us regarding the Services.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of all or part of our business, with notice to you.
  • Language: These Terms are drafted in English. If a translation is provided, the English version prevails in the event of any inconsistency.
